Okay, here is an English essay discussing the key considerations when writing contract insurance clauses.
---
"Key Considerations When Drafting Contract Insurance Clauses"
Contracts form the bedrock of commercial transactions and business relationships, providing a framework for agreed-upon terms and obligations. Among the most critical, yet often complex, elements integrated into these contracts are insurance clauses. These clauses dictate the insurance requirements, responsibilities, and liabilities of the parties involved. Drafting effective and robust insurance provisions is paramount to mitigate risks, ensure compliance, and protect the interests of all parties. Several key considerations must be addressed to achieve this goal.
"Firstly, clarity and specificity are paramount." Vague or ambiguous language in insurance clauses can lead to significant disputes and uncertainty. It is essential to define precisely what insurance is required, including the types of coverage (e.g., property, liability, professional indemnity, cyber insurance), the entities that must be insured (e.g., the contractor, the client, both), and the minimum required limits of indemnification. Specifying the insurance period – whether it covers the duration of the contract, the project lifespan, or a specific period post-conpletion – is also crucial. Ambiguity here can leave gaps in coverage or create conflicting obligations.
"Secondly, understanding the scope of coverage is vital." Parties must have a clear understanding of what each insurance policy covers and, conversely, what it excludes. Standard insurance policies often contain numerous exclusions related to acts of war
Notwithstanding
Notwithstanding the foregoing, the buyer’s obligation to pay the purchase agreement price, or any other sums due under the purchase agreement, is ont so suspended.
Notwithstanding any other provision of the contract, if the contractor intends to claim any additional payment pursuant to any clause of these conditions or otherwise, he shall give notice to his intention to the engineer, with a copy to the employer, within 28days after the event giving rise to the claim has first arisen.
在上面这句话,notwithstanding 后面紧跟any other provision of the contract,表明后面的内容应优先考虑。
Notwithstanding any other provisions of applicable laws, the parties agree that all taxes and duties payable arising from the transfer shall be borne by both the transferor and transferee in equal shares.
Notwithstanding the provisions of Article 91 of these Regulations, when a business establishment in charge of consolidated tax filing fails to compute the taxable income of different business establishments appropriately on a separate basis, the local tax authorities may make reasonable apportionment of the taxable income among these business establishments, under their respective proportion of business income, costs and expenses, assets, the number of staff and workers, or the amount of wages.
If, notwithstanding Sub-Clause 65.1, any damage occurs to any bridge or road communicating with or on the routes to the site due to the transport of materials or plant, the Contractor shall notify the Engineer of the matter in question, with a copy to the Employer, as soon as he becomes aware of such damage or as soon as he receives any claim from the authority entitled to make such claim.
The Engineer shall, from time to time, have authority to issue instructions on the following matters that: 1) any works shall, in the opinion of the Engineer, be removed and re-executed, notwithstanding any previous test thereof or interim payment therefor, because the following items fail to meet the requirements and provisions of the Contract:
Notwithstanding any other provision of the Contract, if the Contractor intends to claim any additional payment pursuant to any Clause of these Conditions or other provisions, the Contractor in question shall, within 28 days after the event giving rise to the claim has first arisen, notify the Engineer of his intention, with a copy to the Employer.
The Works shall be measured net, notwithstanding any general or local custom, except where otherwise provided for in the contract.
Notwithstanding the provisions of this Clause or any other Clause of the Contract, no payment certificates shall be issued by the Engineer until the performance security is submitted by the Contractor under the Contract and approved by the Employer.
Notwithstanding the issue of the Defects Liability Certificate, the Contractor and the Employer shall remain liable for the fulfillment of any outstanding obligation incurred under the provisions of the Contract when the Defects Liability Certificate is issued. To determine the nature and extent of the obligations in question, the Contract shall be deemed to remain in force and be binding upon the parties thereto.
Notwithstanding IB 6.2, the Owner reserves the right to accept or reject any Bid, and to annul the bidding process and to reject all Bids, at any time prior to the award of the Contract, without thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected Bidder or Bidders of grounds for its action.
If the Party A places an order within the time designated in this offer, the price for the goods will remain firm notwithstanding any variation in the costs of producing the goods.
Notwithstanding any other provisions to the contrary herein, insurance coverage and limits shall be subject to approval of all the parties.
The indemnity, release, holding harmless, defendance and protection obligations assumed in Article XX shall apply in respect of the full liability of the indemnify for claims, notwithstanding the indemnify may be entitled to contribution thereto from any other person and notwithstanding such liability may relate to negligence of a third party, provided that in such event the indemnifying party shall be fully subrogated to the rights of the indemnify against such third party.
