第二条 货物装运

Article 2. Shipment of Goods



上述各季度的装船月份由买方选定,但应在各季度前月15日以前通知卖方。

The shipment month for each of the above quarters shall be chosen by the Buyer however shall be notified to the Seller no later than the 15th day of the month preceding each quarter.



装船口岸:中国 港。

Port of loading: port of China.



目的口岸: 港口。

Port of destination: port of country.



第三条 付款条件

Article 3: Payment conditions



买方应于货物装船前十天,按本合同第二部分第三条①款规定的装船数量及期限,通过双方同意的银行开出以中国 进出口公司为受益人的,不可撤销的可转让的,可分割的美元信用证。该信用证凭受益人出具的以开证行为付款人的汇票以及本合同第四条所规定的各项单据,自提单日起三十天(包括提单日在内),由开证行将货款电汇中国银行。信用证金额应按双方商定的交货数量增开5 % 。信用证须证明租船提单可以接受。

The Buyer shall, through the mutually agreed bank, issue an irrevocable, transferable and severable Letter of Credit in US dollars in favor of China Import & Export Corporation ten days prior to the loading of the goods on board the vessel in accordance with the quantity and term of shipment stipulated in Article 3 ① of Part II hereof. The Letter of Credit shall be issued on the basis of a bill of exchange issued by the beneficiary in favor of the issuing bank and the documents specified in Article 4 hereof, and the payment shall be made by telegraphic transfer from the issuing bank to the Bank of China thirty days from the date of the bill of lading (including the date of the bill of lading). The amount of the Letter of Credit shall be increased by 5 % in accordance with the quantity of delivery agreed between the parties. The Letter of Credit shall certify that the chartered bill of lading is acceptable.



第四条 单证

Article 4 Documents



① 卖方在货物启运后,应向议付银行提供下列单据作为议付货款的依据:

① The seller shall provide the following documents to the negotiating bank as the basis for negotiating payment for the goods subsequent to shipment of the goods:



A)发票四份;

A) Four copies of the invoice;



B)清洁装船提单正本二份;

B) Two original copies of the clean bill of lading for the shipment;



C)由商品检验局出具的质量检验证书,重量鉴定证书及产地证明书各一份。

C) Separate copy of the quality inspection certificate, the weight identification certificate and the certificate of origin which issued by the Commodity Inspection Bureau.



② 卖方须将上述单据中的清洁装船提单副本二份随船带交目的港买方指定的收货人.其余单据副本二份航寄买方。

② The seller shall deliver two copies of the above documents of the clean bill of lading with the ship to the consignee designated by the buyer at the port of destination. Two copies of the remaining documents shall be air-mailed to the buyer.



第二部分 Part II

第一条 总则 Article 1 General Provisions



本部分条款与第一部分条款在本合同中是不可分割的两部分。

The terms of this Part and of Part I are inseparable parts in this contract.



第二条 交货条件

Article 2. Delivery Conditions



① 货物所有权及风险的转移以装运港岸上输油臂与油轮集输油管连接点作为分界线。货物通过该连接点时,由卖方转移到买方,卖方交货责任即告终止。

①Transfer of title and risk of the goods will be subject to the line of demarcation between the oil transfer arm and the tanker's gathering pipe at the port of loading. The goods which pass this connection point will be transferred to the buyer and the seller's liability for delivery ceases.



② 买方所派油轮禁止在中华人民共和国沿海水域排放油类或油性混合物。油轮进港后,应根据港口当局的规定把压舱污水排放在处理池内,费用由买方负担。

② Tankers dispatched by the buyer are prohibited from discharging oil or oily mixtures in the coastal waters of the People's Republic of China. The tanker shall, upon entering port, discharge ballast water in a treatment tank at the expense of the buyer in accordance with the regulations of the port authorities.



③ 买方所派油轮在装运货物港应遵守当地行政当局所规定的有关油轮作业安全规则。

③ Tankers dispatched by the Buyer shall comply with the relevant safety rules for tanker operations as prescribed by the local administration at the port of loading.



④ 买方所派油轮载重吨不得超过六万吨,满载最大吃水不得超过125米,长度不得大于230米。如买方所派油轮不符合上述规定时,必须事先征得卖方同意,否则由此所造成的港口当局拒绝油轮靠栈桥,或发生空舱费及与此有关的其他损失均由买方负担。

④ The tanker dispatched by the buyer shall not exceed 60,000 tons deadweight, 125 metres maximum draught and 230 metres in length fully loaded. Where the tanker dispatched by the buyer fail to comply with the above provisions, the seller’s prior consent should be obtained, otherwise the buyer shall be responsible for any resulting refusal by the port authorities to allow the tanker to berth at the pallet, or for any damage caused by the occurrence of dead freight and related other losses therefrom.



⑤ 如果由于卖方的原因,在装运货物港需要移泊或用油驳装运货物时,其费用由卖方负担;但由于买方的原因,如需要移泊或用油驳装运货物时,其费用由买方负担。由于人力不可抗拒的原因,为了确保油轮的安全,装船移泊费用由买方自理。

⑤ Provided that if for the reasons attributable to the seller, it is necessary to move the berth or load the cargo by oil barge at the port of loading, the cost thereof shall be borne by the seller; however if, for the reasons attributable to the buyer, it is necessary to move the berth or load the cargo by oil barge, the cost thereof shall be borne by the buyer. Where for the reasons of force majeure and for the purpose of ensuring the safety of the tanker, the costs for loading and berthing shall be borne by the buyer.



⑥ 每批装船数量允许增减5 %,由买方选择。

⑥ The quantity of shipments per batch is allowed to increase or decrease by 5 %, at the option of the buyer.



第三条 装船通知

Article 3 Shipment advice



① 买方应在装船月15天前电告卖方派船计划,包括船名,预抵装运港日期,装运数量。卖方接到买方派船计划后,应在五天内电复买方接受的预抵装运港日期和装运数量。如果买卖双方对油轮预抵装运港日期或装运数量的意见不一致,双方协商安排一个都可以接受的日期、装运数量或者安排另外油轮来接货。双方商妥的油轮预抵装运港的日期称为"确认日期"。

The buyer shall notify the seller by telephone 15 days prior to the month of shipment schedule for the dispatch of the vessel, including the vessel name, the arrival date at the port of loading and the quantity to be shipped. The seller shall, within five days upon receipt of the buyer's dispatch schedule, telegraph the buyer's acceptable date of arrival at the port of loading and the quantity to be shipped. Where disagreement between the buyer and seller as to the arrival date of the tanker at the port of loading or the quantity to be shipped, the parties will agree on a mutually acceptable date and quantity to be shipped or arrangement of another tanker to deliver the cargo. The agreed date of arrival of the tanker at the port of loading is known as the "Confirmation Date".



② 买方应按双方商妥的"确认日期" 派油轮抵达装运港;卖方应及时装运货物。如任何一方因特殊原因要求更改"确认日期"或装运数量时,对方根据储罐、泊位和供货或接货的可能以及油轮安排的可能,应在两天内电复可以接受或不可接受。如油轮在"确认日期" 以前或以后抵达装运港,卖方应做出最大努力尽快装运货物。

② The buyer shall dispatch the tanker to the port of loading on the "confirmed date" agreed upon by the parties; the seller shall load the goods in time. Where either party, for special reasons, requests a change in the "Confirmation Date" or the quantity to be shipped, the opposite party shall reply within two days by telegram whether it is acceptable or unacceptable, depending on the availability of storage tanks, berths and deliveries or taking over and the possibility of tanker arrangements. Where the tanker arrives at the port of loading before or after the "Confirmation Date", the Seller shall use its best endeavours to load the goods as soon as practicable.



③ 如果买方在按照本条①款规定通知派船计划时,已列明预抵装运港日期及装运数量,但注明船名待定时,买方应最迟在确认日期十天前将船名电告卖方。

(3) Provided that the Buyer, when notifying the dispatch schedule in accordance with paragraph (1) of this Article, has specified the date of arrival at the port of loading and the quantity to be shipped, however the vessel name is to be determined, the Buyer shall telegraph the vessel name to the Seller not later than ten days prior to the date of confirmation.



④ 双方商妥"确认日期"的油轮,允许买方按同一"确认日期",同一装运数量和装运货物港口可以接受的船型另派油轮代替。但买方最迟应在"确认日期"前五天将代替油轮的船名等有关情况通知卖方。

The buyer shall be allowed to dispatch a replaced tanker for the tanker originally specified on the "Confirmation Date" by mutual agreement on the same "Confirmation Date", in the same shipment quantity and in a type of vessel acceptable to the port of loading, provided that the buyer notifies the seller of the name of the replacement tanker and other relevant information at least five days prior to the "Confirmation Date".



⑤ 买方在油轮抵达装运港前五天电告卖方(包括装运港的卖方分公司)及装运港中国外轮代理公司,预报船名、船籍、预抵装运港日和装运数量。买方应指示船长在油轮抵达装运港前48小时和24小时及6小时向卖方(包括装运港的卖方分公司)及装运港中国外轮代理公司报告预抵装运港的时间。

⑤ The buyer shall telegraph the seller (including the seller's branch at the port of shipment) and the Chinese Foreign Shipping Agency at the port of shipment five days prior to the arrival of the tanker at the port of shipment to forecast the name, the nationality of the vessel, the expected date of arrival at the port of shipment and the quantity to be shipped, in addition to instruct the master to report to the seller (including the seller's branch at the port of shipment) and the Chinese Foreign Shipping Agency at the port of shipment 48 hours, 24 hours and 6 hours before the arrival of the tanker at the port of shipment for the pre-arrival time.



⑥ 装船完毕后,卖方应在24小时内以电报通知买方:合同号、品名、密度(注明换算温度)、含硫量%、含水量%、船名、收货人、装运数量、发票单价、总值、提单日和离泊时间。

⑥ The seller shall, subsequent to completion of loading, notify the buyer within 24 hours by telegram: contract No., product name, density (indicating conversion temperature), sulphur content %, water content %, name of vessel, consignee, quantity shipped, invoice unit price, total value, bill of lading date and time of departure from berth.



第四条 装运货物定额

Article 4 Loading quota



① 油轮抵达装运港后,如果具备装运货物条件,船长应当通过装运港外轮代理公司向卖方或外轮代理公司提出备装通知书并同时确认。装船作业开始时间按以下规定计算:

按"确认日期" 抵装运港的油轮,以确认备装通知书六小时后开始起算,但如在确认备装通知书后不到六小时装油时,以开始装运时间起算。

① Upon arrival of the tanker at the port of shipment, the master shall give notice of readiness for loading to the seller or the foreign shipping agency through the foreign shipping agency at the port of shipment and confirm it at the same time if the conditions for loading are available. The time for commencement of loading operations shall be calculated as follows:

For tankers arriving at the port of shipment on the "Confirmation Date", the count shall commence six hours after the Confirmation Notice of Readiness to Load, except that if oil is loaded less than six hours after the Confirmation Notice of Readiness to Load, the count shall commence at the time of commencement of loading.



第六条 商品检验

Article 6 Commodity inspection



① 重量的鉴定由装船口岸国家商检局出具的重量鉴定证书为准。提单数量应根据重量鉴定证书填写。重量鉴定证书及提单所列数量作为买卖双方交货数量的依据。

① The identification of the weight shall be based on the Weight Identification Certificate issued by the State Commodity Inspection Bureau at the port of loading. The quantity of the bill of lading shall be filled in according to the weight identification certificate. The Weight Identification Certificate and the quantity listed in the bill of lading shall be used as the basis for the delivery quantity between the buyer and the seller.



② 品质的检验:由装船口岸国家商检局按SYB2001-59 石油产品试样法取样,混合后分装三份作为卖方所交货物的标准样品。

② Quality inspection: The sampling will be made by the port of embarkation State Commodity Inspection Bureau in accordance with SYB2001-59 petroleum products sample method, mixed and pided into three copies as the standard sample of goods delivered by the seller.



上述三份样品之中的一份将交给油轮船长,其余二份均交中华人民共和国国家进出口商品检验局,一份供化验用,一份装运货物后保存六十天。

国家商检局经化验后所出具的品质证书作为卖方所交货物的品质依据。

One of the above three samples will be submitted to the captain of the tanker and the other two to the State Import and Export Commodities Inspection Bureau of the People's Republic of China, one for laboratory testing and one to be kept for sixty days after shipment of the cargo.

The Quality Certificate issued by the State Commodity Inspection Bureau after testing shall be the basis for the quality of the goods delivered by the seller.



第七条 投保油污责任险

Article 7 Insurance of oil pollution liability insurance



① 买方所派油轮应加入基于1 9 6 9年《国际油污民事责任公约(CLC)第七条的金额保证(P& I CLUB保险)以及TOVALOP(油轮船东自愿承担油污责任协定)协定。

① The tankers dispatched by the buyer shall be covered by a monetary guarantee (P& I CLUB insurance) based on Article VII of the International Convention on Civil Liability for Oil Pollution (CLC), 1 9 6 9 and the TOVALOP agreement.



② 由买方所派油轮,如果在装运港遇事故而发生油类和油类混合物的污染或有发生这类污染的可能性时,船东或船长应迅速采取清除措施,防止油污而造成的损失,或为避免油污损失进一步扩大所采取合理而有效的措施,但如果船东或船长不采取上述措施时,卖方在通知船东或船长之后,可以采取合理的必要的措施进行清除工作和减轻油污可能造成的损失。卖方应随时将所要采取的措施和后果告诉船东或船长,如时间允许,应在采取措施前将拟采取的措施告诉船东或船长.卖方采取的上述措施可以认为是按船东或船长委托进行的。

② Where oil and oil mixtures are contaminated or a possibility of such contamination in the event of an accident at the port of shipment, the owner or master of the ship shall take prompt removal measures to prevent damage caused by the oil contamination or take reasonable and effective measures to avoid further damage from the oil contamination, however if the owner or master fail to take such measures, the seller may, after notifying the owner or master, take such measures as are reasonably necessary to carry out the removal work and to mitigate the damage which may be caused by the oil contamination. The seller shall keep the ship-owner or master informed of the measures to be taken and their consequences and, if time permits, shall inform the ship-owner or master of the measures to be taken before taking the same. The measures taken by the seller as aforesaid shall be deemed to have been taken on the instructions of the owner or the master.



③ 卖方或船东船长采取的上述措施均不得与1969年《国际油污损害民事责任公约(CLC)》及TOVALOP协定(油轮船东自愿承担油污责任协定)的规定相抵触。

③ None of the above measures taken by the seller or the ship-owner's master shall be inconsistent with the provisions of the International Convention on Civil Liability for Oil Pollution Damage (CLC) 1969 and the TOVALOP Agreement (Agreement on Voluntary Assumption of Liability for Oil Pollution by Tanker Owners).



第八条 不可抗力

Article 8. Force Majeure



如因人力不可抗拒的事故不能按时交货时,卖方可以延期交货或部分延期交货或取消合同,但卖方应向买方提交由中国国际贸易促进委员会开具的发生事故情由的证明文件。如因人力不可抗拒的事故不能按时接货时,买方可以延期接货或部分延期交货或取消合同,但买方应向卖方提交由国际商会签发的证明文件。

Where the delivery cannot be effected on time due to force majeure, the seller may delay the delivery or partially cancel the contract, however the seller shall submit to the buyer the accident certificate issued by the China Council for the Promotion of International Trade. Where the buyer is unable to receive the goods on time due to force majeure, the buyer may delay the delivery or partially delay the delivery or cancel the contract, however the Buyer shall submit to the seller with the supporting documents issued by the International Chamber of Commerce.

CLAUSE 1 SCOPE OF THE CONTRACT

第1条 合同的范围



Seller and Buyer, under full corporate authority and responsibility, respectively represent that one part is a lawful owner of the commodity in quantity and quality as hereunder specified, and the other has the full capability to purchase the said commodity.

CLAUSE 3 QUANTITY

3.1 The total contractual quantity of the commodity sold and purchased under this Contract is Minimum Quantity of 3,650,000 Metric Tons one year contracts as Seller’s option.

本合同项内的商品销售和购买合同总数量/最低数量为3,650,000公吨1年的合同,由卖方的选择。



3.2 Seller and Buyer hereby agree to deliver and accept the above quantity in partial shipments, with reference to provisions set out in clause 4.

3.3 Trial order 50,000 MT + 300,000 MT/ per month x 12 contracts shall be delivered monthly in accordance with the delivery schedule.

3.4 That the first delivery will be as per delivery schedule and ending on the conclusion of the contract, and the subsequent delivery schedules is approved by the loading terminal(s) on a quarterly basis.

CLAUSE 4 TIME PERIOD

4.1 The duration of this contract is for 13 month’s purchases. The first delivery, should be in thirty ( 30 ) days of receiving the buyer's financial instruments.

4.2 The time period for the conclusion of each monthly supply shall terminate once the final batch of current monthly lot has been assessed at the Buyer’s designated discharge port. However, the time period between the first and the final batch not to exceed Thirty (30) days.

CLAUSE 5 QUALITY

第5条 质量



5.1 For the full duration of the Contract, the Seller guarantees that the quality of the product sold will conform to the guaranteed specifications as reported on “Annex A” which constitutes an integral part of this Contract.

本合同的整个期间内卖方保证销售的产品的质量规格符合报告“附件A”,这是构成本合同不可分割的一部分。



CLAUSE 6 PRICE

第6条 价格



6.1 Price Fixed USD___ Gross ( ) Per Metric Ton including Pipeline Fees.

6.2 The Buyer undertakes to nominate a discharge port(s) CIF. Both Parties agree to set the price by using the above Unit price.

CLAUSE 7 PAYMENT AND BANKING PROCEDURES

7.1. Buyer confirms soft offer and issues an Irrevocable Confirmed Purchasing Order (ICPO).

7. 2. Seller issues Full Corporate Offer (FCO) endorsed by Buyer after receipt of it to return.

7.4 Buyer and Seller lodge the contract in their respective banks and finalize the bank for bank processing.

7.5 Seller company registers and legalizes the final contract with the approprlate ministry in charge and send the approved contract to buyer via email and both party will lodge the final approved contract with their respective banks to start the to bank transaction.

CLAUSE 8 DELIVERY

The Seller warrants performing delivery of the transacted commodity on CIF inside customs outturn quality and quantity basis, to the buyer’s designated discharge port(s), the shipping contract confirmation in Annex F, and the destination port(s) confirmation in Annex G. The first delivery shall take place within thirty (30) to thirty-five (35) days from acceptance date of BUYER’S financial statement. Buyer shall specify the discharge port(s) in accordance with the approved quarterly delivery schedule.

卖方保证成交商品的到岸价格是在海关进行交付 依到货的质量和数量基础上由买方指定卸货港并确认运输合同(附录F、附录G中确认)。第一次交货时间应在买方的款到后起 30 到 35 天内举行履行。买方应按照批准的季度交付时间表安排卸港。



In accordance with provisions set out in the above clause 3, the seller and buyer hereby acknowledge to performing the delivery of monthly lots in batches to conclude the total amount of not less than “Suezmax” shipments and up “Cape size” for every shipment.

Buyer will have the option to change his designated discharge port within the country, provided that a written notice is given, to the seller, of at least thirty (30) calendar days prior to the estimated ship’s arrival at the former scheduled nominated discharge port.

8.1 Seller to notify the Buyer of the full chartered ship’s particulars (general dimensions, cargo system arrangement and maximum unloading capacity rate, cargo tanks capacities at 98% loaded, manifolds sizes and reductions available on board). This information must be provided to the buyer at least five (5) days prior to the seller’s vessel nomination, so as to assure compliance at the buyer’s discharge port.

卖方通知买方船的全部数据(一般尺寸,货物的制度安排和最大卸载容积率,98%加载,歧管的尺寸和减少在船上的货油舱的能力)。此信息必须在买方提出油灌容器前至少五(5)天,以确保符合买家的卸货港。



8.2 Seller shall ensure timely arrival of the ship to the discharge port in conformity with the approved schedule.

卖方应保证及时到达卸货港的船舶符合批准的计划。



8.3 Vessels chartered by seller shall in all respects meet port rules and regulations in terms seaworthiness, fire and common safety, ballast operations, and discharging rates, otherwise, or and any damages caused by non compliance with such rules and regulations shall be imposed on the seller.

卖方所租的船只在各方面满足适航性,防火和共同安全,压载作业,放电速率,否则, 造成的任何损失依规则和法规应当给予卖家承担。



CLAUSE 10 INSURANCE

第10条 保险



10.1 Seller, at his own expense, shall procure a policy with a first class Marine Insurance Institute to cover the one hundred and ten percent (110%) of the value of the cargo. The insurance policy will cover all risks of loss or damages to said cargo, including War, hijacking, explosion etc. from the time the cargo has passed the ship’s manifold flanges at the loading port. Copy of the policy shall be submitted to Buyer.

卖方必须承担执行头等海洋保险委员会保单的费用,该保单以买方为受益人,承保货物价值的110%。该保单将承保所有风险或所涉及货物的损害,包括战争、劫持、爆炸等,从货物在装运港货运转移开始, 保险政策副本应提交给买方。



10.2 Marine Insurance will cover all risk, of loss or damage to said cargo, including war, hijacking, explosion etc. until cargo commences to pass the ship’s manifold flanges at the discharge port to the tanker at discharging port.

海上保险将承保所有风险的损失或损害的货物,包括战争,劫持,爆炸等。直至货物在卸货港开始转移。



CLAUSE 11 PERFORMANCE BOND

第11条 履约保证金

11.1 The Seller’s bank, in accordance with the provisions set out, will post into the beneficiary’s bank account nominated by the Buyer, L/C, and Performance Bond to cover the 2.0% (two percent) of the face value of each opened operative revolving documentary letter of credit amount.

卖方的银行,按照合同条款规定,以买方指定受益人的银行账户发出履约保证金(PB),金额必须含盖每张已执行的跟单信用证总额的2.0%。



11.2 The format of the performance Bond shall be in accordance with the latest ICC URDG458 (international chamber of commerce uniform rules for demand guarantee) as per “Annex D”.

履约保证金格式应按照“附件D”最新的国际商会URDG458(国际商会见索即付保函统一规则)。



11.3 In the event of Non performance by the Seller, the Seller’s PB will be called up by the Buyer and the seller will instruct his bank to issue a new PB (based on 2% of face value of (L/C) within a period of 24 (twenty four) hours having the same tenor as the previous one. Should this be the case, all future payments due by Buyer will be suspended until such a time that the new PB has been placed.

如果发生卖方无作为的情况,卖方的履约保证金将被买方催告,卖方将通知他的银行开立期限和前一份履约保函期限相同的新的履约保函(24小时)。如果发生了该情况,所有买方的期货付款将中止,直到新的履约保函开出为止。



CLAUSE 12 NON PERFORMANCES

第12条 违约

12.1 Should either party fail to comply with any of their obligations to the other party related to the contract, then the suffering party will have the option to declare non performance against the defaulting party.

如果任何一方未能遵守自己的义务,相对方关于合同将有权宣告对方为违约方。



12.2 Failure by either party to take against the other, in case of the other party’s non-compliance with obligation or conditions set forth with this contract, shall not of the same or other obligations or conditions.

任何一方在对方不遵守义务或本合同规定的条件并未异议的情况下,并非指同意其违约的责任或条件。



CLAUSE 13 CLAIMS.

第13条 索赔



13.1 Any claims that either party may have, due to an occurrence, has to be submitted to the other party with in a period of two (2) months from the date of that occurrence.

如果有事故发生,任何一方都可以有索赔要求,一方必须在发生事故日期两(2)月内提交给对方。 卖方不接受超过两周后提出的任何索赔,买方也将无权申请仲裁。



13.2 In the event that the quality of any one of the delivered batches fails to comply with the contractual specification, then the Buyer shall have the option to accept the said batch at a lower price being negotiated and accepted by the buyer, prior to the commencement of the discharge operations.

在发生任何一个交付的批次的质量不符合合同约定的规格,则买方在卸货前可选择可接受较低的价格协商。



13.3 If within twenty (20) calendar days from date of discharge of vessel, the Buyer fails to inform the Seller confirming the non compliance, the commodity will be deemed to have been accepted by the Buyer, and the Seller will accept no claim.

如果在20个日历日内船只卸货之日起,买方未通知卖方确认商质量将被视为已被接受,卖方将不承担任何索赔。



CLAUSE 16 APPLICABLE LAW

第16条 适用法律



16.1 This Contract shall be interpreted in accordance with the laws of the People’s Republic of China.

本合同应按照中华人民共和国的法律解释。



CLAUSE 17 BREACHES AND PENALTY

第17条 违规和罚款



17.1 Subject to clause 15 herein, in the event of failure by the Seller or Buyer to comply with any of the obligation assumed under this contract, shall entitle the other party, without prejudice to any other or recourses available to it, to consider such failure as breach of this contract and to terminate the same, or to unilaterally suspend its performance until such failure is corrected, and in both cases, may claim direct damages for the breach of this contract.

除第15条所应遵守本合同项下承担的义务外,由卖方或买方在发生异常时,对方有权在没有损害追索权下考虑本合同终止或单方面中止履行,直至修正异常。在这两种情况下,可以要求为违反合同的直接损失。



17.2 After this contract has been signed and sealed and copies exchanged electronically or otherwise via courier service, any party fails to follow the operation procedure shall be considered a breach of the contract. The defaulting party is liable to pay a one time penalty fees agreed upon by both Seller and Buyer as a form of compensation to the suffering party.

在本合同已签署并密封,副本电子方式交换或以其它方式通过快递服务,任何一方未能按照操作步骤应被视为违反合同。违约方须支付卖方或买方一种形式的罚金。



CLAUSE 18 ARBITRATION

第18条 仲裁



18.1 All disputes arising from the execution of or in connection with this Contract shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation, the case shall then be submitted to the Foreign Economic and Trade Arbitration Commission of the China Council for the Promotion of International Trade, Beijing for arbitration. The arbitration award is final and binding upon both parties and the arbitration fee shall be borne by the losing party.

凡因执行本合同所发生的或与本合同的关的一切争议,双方应通过友好协商解决,如果协商不能解决,应提交北京中国国际贸易促进委员会对外经济贸易仲裁委员会根据该会仲裁程序暂行规则进行仲裁。仲裁裁决是终局的,对双方都有约束力。仲裁费用由败诉方承担。



18.2 Each party shall appoint one arbitrator who in turn will appoint a third arbitrator. Nothing in the Contract shall be construed to prevent any court having jurisdiction from issuing injunctions, attachment orders or orders for other similar relief in aid of any arbitration commenced by the arbitrator(s) may entered in any court having jurisdiction hereof.

每一方应指定一名仲裁员,反过来将任命第三名仲裁员。在合同中的任何规定不得解释为阻止有管辖权的法院发出禁令或其它类似救济援助的任何仲裁的仲裁员的任何法院具有司法管辖权本。



CLAUSE20 CONFIDENTIALITYNONDISCLOSURE/NONCIRCUMVENTION

第20条 保密/ 不公开/不欺骗



20.1 The undersigned parties do hereby accept and agree to the provisions of the international chamber of commerce for non circumvention and non disclosure with regards to all and anyone of the parties in this transaction.

签字各方在此接受并同意国际商会规定所有本次交易任何资料保持非绕过非泄露。



20.2 To include but not limited to the Buyer, Seller, their agents, mandates, nominees, assignees, and all intermediates party to this Contract/contract.

本协议/合同包括但不限于买方,卖方,代理,委托人,提名人,受让人和所有中介方。



20.3 This Contract shall be kept in the strictest confidence between them for at least five (5) years from the date hereof.

本协议需最严格保密至少5年。

CLAUSE 21 SHIPPING DOCUMENT

第21条 装运文件



21.1 A full set of 3/3 originals plus 3 N/N copies of Ocean Bill of Lading made out “Clean on Board” marked “Freight PrePaid”. The B/L to be signed in original by the ship’s Master and “bank” issued or endorsed for the destination, identification of the loaded cargo with quantity expressed in US Barrels at 60 degrees Fahrenheit and Metric Tons.

全套3/3份海运提单原件,加上3N/N副本,提单上有“Clean on Board”和“运费已付”标记。提单需要有船长的签字,并提供一份“空白”或由目的港背书,上面有以”美国桶” (US Barrel) 为单位在华氏60度下已装载的数量和公吨数。



21.2 Original quantity and quality certificates plus two (2) copies as issued at loading port by an independent Surveyor Company SGS.

独立检验公司(SGS)出具的,在装船港的数量与质量检验证书原件 加上2份副本。



21.3 Original quantity and quality certificates plus (2) copies as issued at discharge port by an independent Surveyor Company CIQ.

独立检验公司(SGS)出具的,在卸货港的数量与质量检验证书原件 加上2份副本。



21.3 Certificate of origin plus two (2) copies countersigned by a local cham#ber of commerce.

由当地商会会签的产地证明原件加 2份副本。



21.5 Signed commercial invoice based on the delivered quantity/quality as determined by clause 9.4 of this contract.

根据本合同第9.4条所确定的交付数量/质量签署的商业发票。



CLAUSE 23 LAYTIME

第23条 装卸时间



23.1 Buyer warrants that Seller’s nominated vessel(s) will be allowed to discharge her cargo within seventy two (72) free running hours SHINC plus six (6) hours NOR, and however, maintaining at the ship’s manifolds an average discharge pressure of not more than ten (10) kilograms per square centimeter (kg/cm²).

买方保证卖方提名船只将被允许在96自由小时再加6小时NOR卸货(周日节假日包括在内),船舶阀门组保持一个平均排放压力不超过10千克每平方厘米(KG/CM2)。



23.2 Notice of readiness (N.O.R) shall be given, on ship’s arrival at the buyer’s designated discharge port(s), by the ship’s master to buyer and /or agent, by radio, cable or by hand, at any time including Saturdays, Sundays and holidays.

船舶到达买方指定卸货港,在任何时间包括星期六星期日及假期,由船长给买方或其代理通过无线电,有线或手势发出准备就绪通知(NOR)。



23.3 Laytime shall commence upon the expiration of six (6) hours after tender of notice of readiness, or upon vessel being all fast in berth, whichever is earlier.

卸货时间在准备就绪通知发出6小时后开始计算,或船泊位时间,以较早者为准。



23.4 Time spent for customs/health/port authority formalities, pilot age from anchorage area to berth, mooring, or crossing river mouth, shall not to count as lay time.

海关/健康/港务局手续,驾驶员年龄从锚地到泊位,系泊或穿越河口等等花的时间,不能算作卸货时间。



CLAUSE 24 DEMURRAGES

第24条 滞期费



24.1 Demurrages at both load and discharge ports, if any and if not caused by Buyer’s nominated discharge terminal, will be paid by the Seller to the Buyer at sight, at first and simple written request. Conversely, if demurrages have been caused by the Buyer’s discharge terminal, then the corresponding amount shall be borne by the Buyer to be paid to the Seller at sight, at first and simple written request. Time shall not count against playtime or if the vessel is on demurrage, or demurrage when spent or load.

在装货港及卸货港滞期费,如果任何,如果不是由买方指定的码头,在第一时间和简式的书面请求,将由卖方即期支付买方滞期费,相反,如果已到达买方指定的码头,在第一时间和简式的书面请求,那么买方应即期支付给卖方相应的金额。如果船只已在滞期或装载,工作时间不计算。



24.2 Demurrages amount shall be computed at the chartered party rate. For this purpose, seller shall provide the buyer with a copy of the original charter party.

滞期费由租船方计算。为此,卖方应向买方提供租船合同的副本。



24.3 Demurrages will be based on daily rate or pro rata thereof.

滞期费将根据每日按比例计算。
