I. SCOPE OF WORK

第一条 工程范围



The general purpose of this Contract is for the reconstruction of approximately_____ feet of ______ Road, which includes, but is not limited to, pulverizing, grading, bituminous surfacing, shouldering, seeding, mulching, signage and new culverts (the "Project").

本合同旨在重建______道路约_____英尺路段（以下简称"项目"），工程内容包括但不限于路面破碎、平整、沥青铺装、路肩修筑、播种、覆膜、标识安装及新涵管铺设。



The Contractor shall be responsible for all services necessary to complete this Project. For this Project, _____, shall be the Tribe’s primary point of contact with the Contractor.

Section 2. Contract Documents

第2款 合同文件



In addition, the Wisconsin Department of Transportation Standard Specification for Highway and Structure Construction, as current at the time of the Contract, are incorporated into the Contract, unless superseded by federal construction standards identified under the Project plans and specifications.

威斯康星州交通部现行《公路及结构物施工标准规范》亦纳入本合同，除非项目规划与规范中载明的联邦施工标准优先适用。



Section 3. Services

第3款 服务内容



Contractor agrees to use a high standard of care.

承包商承诺履行高度谨慎义务。



Except as otherwise specifically stated in the Contract, the Contractor shall provide and pay for all materials, tools, equipment, liability insurance, transportation and all other services and facilities of every nature whatsoever to execute the Project and deliver it complete.

除合同另有明确规定外，承包商应自费提供完成项目所需全部材料、工具、设备、责任保险、运输及所有其他服务与设施。



The Contractor shall be responsible for such cutting, fitting or patching as necessary for the Project without damaging or endangering the work.

承包商应负责项目所需的切割、适配或修补工作，且不得对工程造成损害或安全隐患。



Section 4. Supervision and Construction Procedures

第4款 监理与施工规程



Contractor shall supervise and direct the work and shall be responsible for job site safety.

承包商应全程监督并指挥施工，负责工地安全。



Contractor shall be solely responsible for and have control over construction means, methods, techniques, sequences and procedures, as well as for coordinating the work, unless the contract documents give other specific instructions concerning these matters.

除非合同文件另有特别规定，承包商应独家掌控施工方式、方法、技术、顺序及程序，并负责工作协调。



Contractor shall be responsible to Tribe for acts and omissions of Contractor’s employees, subcontractors and other persons performing portions of the work for or on behalf of the Contractor or its subcontractors.

承包商应对其员工、分包商及其他为其代工者的作为与不作为向社区承担责任。



Section 5. Access

第5款 承包商进场



Contractor shall provide the Tribe and the BIA with access to visit the Project. The Tribe and BIA will abide by the Contractor’s reasonable Project site safety rules.

承包商应向社区及印第安事务局提供进入项目现场的权限。社区及印第安事务局应遵守承包商制定的合理施工现场安全规则。



Section 6. Right to Carry Out Work

第6款 代为施工权



If Contractor defaults or persistently fails or neglects to carry out work in accordance with the contract documents, the Tribe, after 10 days’ written notice to Contractor and without prejudice to other remedies, may make good such deficiencies and may deduct the reasonable cost thereof from payment then or thereafter due to Contractor.

如果承包商发生违约、持续未履行或疏于按照合同文件规定开展施工，社区可在向承包商发出书面通知十日后，在不影响其他救济措施的前提下，自行修补工程缺陷，并有权从应付或即将支付给承包商的款项中扣除由此产生的合理费用。



Section 7. Subcontractors

第7款 分包商



The Contractor shall require each subcontractor comply with the terms of the Contract Documents for this Project and assume all appropriate obligations and responsibilities for the work thereunder. This provision does not limit or otherwise affect the Contractor’s responsibility for the quality of labor, services, and materials furnished by subcontractors and for the acts and omissions of subcontractors.

承包商应要求各分包商遵守本项目合同文件条款，并承担相关工作项下的全部适当义务与责任。本条款不限制或以其他方式影响承包商对分包商提供的劳务、服务及材料质量的责任，以及对分包商作为与不作为的责任。



Section 4. Liquidated Damages

第4款 违约金



If the Contractor fails to complete the work within the time specified hereunder, the Contractor shall be liable for and shall pay to the Tribe the sum of $100 for each calendar day of delay until the work is substantially completed and accepted by the Tribe, except for delays caused because of force majeure.

如果承包商未能在规定期限内完成工程，除不可抗力导致的延误外，承包商应向社区支付每日100美元的违约金，直至工程实质性完成并通过社区验收为止。



Section 6. Site Examination

第6款 现场勘查



It is understood that the Contractor has examined the site and is familiar with all conditions that might affect the execution of this Contract and has Revised 06/27/2017 made provisions therefore in its bid. When the site contains concealed or unknown conditions that differ materially from those indicated in the contract documents, the parties agree that the contract sum or time shall be equitably adjusted.

双方确认，承包商已对施工场地进行勘查，熟悉可能影响本合同履行的一切状况，并已在投标文件中作出相应安排。如果现场存在与合同文件所示情况存在实质性差异的隐蔽或未知条件，双方同意对合同金额或工期进行公平调整。



If, as part of completing the work under this Contract, the Contractor encounters hazardous or toxic materials on the site, the Contractor shall immediately stop work in the affected area, take immediate measures to protect against injury to persons or property and report the condition to the Tribe in writing. The Contractor has no responsibility for such hazardous or toxic materials on the site unless the Contractor, or someone for whom the Contractor is liable, introduces such materials to the site.

承包商在履行本合同过程中，如果发现现场存在危险或有毒物质，应立即停止受影响区域作业，采取即时防护措施避免人员伤害或财产损失，并以书面形式向社区报告。除非承包商或其责任关联方将此类物质带入现场，否则承包商对场地既有危险或有毒物质不承担责任。



Section 1. Contract Sum

第1款 合同总额



The Tribe shall pay the Contractor, subject to adjustments, the sum of _____ ($_____). The contract sum shall not exceed this cost without express written permission from the Tribe.

除调整事项外，社区应向承包商支付_____（$_____）的合同总价。未经社区书面明确许可，合同总价不得超过本金额。



IV. PAYMENTS

第四条 款项支付



Section 1. Application for Payment

第1款 付款申请



Payments shall be payable upon application for payment from Contractor. Applications for progress payments shall be based on work completed. Each application for payment shall be accompanied by support for the requested payment, such as a schedule of values, invoices or other evidence supporting disbursements to contractors, laborers and suppliers, as well as lien waivers or partial lien waivers. No payments shall constitute a waiver of the Tribe's right to withhold payment for any grounds stated in this Contract, nor shall any payment estop the Tribe from recovering from the Contractor any money paid for work that subsequently proves to be defective or otherwise not in conformity with the Contract.

款项应依据承包商提交的付款申请支付。进度款申请应以已完成工作量为基础。每份付款申请应附具付款请求的支持文件，包括价值明细表、发票或其他证明承包商、劳工及供应商支出的凭证，以及留置权放弃书或部分留置权放弃书。任何付款均不构成社区放弃本合同规定的扣款权利，亦不妨碍社区就后续发现存在缺陷或不符合合同要求的工作向承包商追回已付款项。



Section 4. Change Order

第4款 变更指令



Changes in the work after execution of the Contract will typically be handled through written change orders. A change order is a written document that is signed by both Tribe and Contractor stating their agreement upon the following: the change to the identified contract work and the amount of adjustment, if any, to the contract sum and contract time. No changes to the contract sum or contract time will be honored without an approved change order or an amendment to the Contract.

合同签订后的工程变更通常应通过书面变更指令处理。变更指令指由社区与承包商共同签署的书面文件，双方就以下事项达成一致：对指定合同工程的变更，以及对合同金额与合同期限的调整（如有）。未经批准的变更指令或合同修正案，任何对合同金额或合同期限的变更均无效力。



Section 5. Completion and Joint Final Inspection

第5款 竣工与联合最终验收



Contractor shall provide notice to the Tribe when it has fully performed the work under the Contract, not including any responsibilities that extend past the date of final completion. In addition, Contractor shall provide the Tribe with a final construction report and as-built plans upon completion of the Project. The Tribe will provide a copy of such materials to the BIA as part of the final inspection process.

承包商应在全面履行合同项下工程后通知社区（不包括最终竣工日后延续的责任）。此外，承包商应在项目完成后向社区提交最终施工报告与竣工图纸。社区将向印第安事务局提交此类材料副本作为最终验收流程组成部分。



The BIA, Tribe and Contractor shall schedule and complete a joint inspection of the job site. As part of this inspection, a punch list will be prepared as to all incomplete and unsatisfactory items. It is hereby understood that the decision as to whether the Project or any particular item is complete and satisfactory is reserved solely to the Tribe and BIA.

印第安事务局、社区与承包商应安排并完成工地的联合验收。验收过程中将就所有未完成及不达标事项编制整改清单。特此明确：关于项目或任何具体事项是否完成并达标的决定权专属于社区与印第安事务局。



Section 5. Integration

第5款 完整协议



This Contract and any exhibits, attachments and documents incorporated by reference constitute the entire agreement and understanding between the parties hereto and supersedes any and all prior agreements and understandings, oral or written, relating to the subject matter hereof. This Contract shall control when there is any conflict between the provisions of it and any exhibit, attachment or incorporated document.

本合约及其通过引用并入的所有附录、附件及文件，构成本协议双方之完整合意，并取代此前所有与本合约标的有关之口头或书面协议及谅解。当本合约条款与任何附录、附件或并入文件存在冲突时，应以本合约为准。



Section 6. Assignment

第6款 不得转让合同权利义务



Neither this Contract nor any part thereof shall be assigned to a third party without prior authorization, in writing, from the Tribe.

未经社区事先书面授权，本合约或其任何部分不得向第三方转让。



Section 7. Severability

第7款 可分割性



Any part of this Contract that is held void or unenforceable shall be stricken and all remaining provisions shall continue to valid and binding.

本合约任何部分被判定无效或不可强制执行时，该部分应被删除，其余条款仍保持有效且具约束力。



Section 8. Termination

第8款 合同终止



The Contractor may terminate the Contract if work is stopped for a period of 30 consecutive days through no act or fault of the Contractor. The Contractor shall be equitably compensated for work completed prior to this termination.

如果因承包商无任何行为或过错导致工程连续停工30日，承包商可终止合约。承包商应就终止前已完成之工作获得公平补偿。

7月2日，四川路桥建设集团股份有限公司（四川路桥，600039.SH）公告称，近日，公司全资子公司路桥集团与四川成内渝高速公路有限责任公司签订了《G85G76重庆（川渝界）至成都高速公路扩容工程项目路基土建工程施工总承包合同》。工程范围：ZCB5总承包部桩号K10+100～K39+820、K114+300～K133+624、K146+500～K178+855.607，全长约81.398公里。主要工程内容：包含路基、桥梁、涵洞、隧道、上下边坡绿化、路面（改扩建段）、交安（改扩建段）工程。合同总金额约为115.96亿元。合同段总工期为39个月。
